Quinquennial Census of Foreign Capital in Brazil – 2021

On July 1st, 2021, begins the period to submit the information return of the Quinquennial Census of Foreign Capital in Brazil, base date of December 31st, 2020 (“Information Return”) before the Brazilian Central Bank (“BACEN”). The deadline for the file of the Information Return is August 16th, 2021, 4:00 p.m.

 

The Quinquennial Census return shall be submitted by:

 

  • Legal entities based in Brazil, with direct participation of non-residents in their share capital, in any amount, on the base date of December 31st of the base year;
  • Investment funds with non-resident quota holders, on the base date of December 31st of the base year, through their managers; and
  • Legal entities headquartered in Brazil, with total debt balance of short-term commercial credits (payable within 360 days) granted by non-residents, in an amount equal to or greater than the equivalent to US$ 1 million, on the base date of December 31st of the base year.

 

All Information submitted to BACEN will receive confidential treatment. In case of disclosure of such information, BACEN will do so by preserving the name of involved parties.

 

By failing to submit the information or providing false, incomplete, or inaccurate information or yet providing the information out of the deadlines and established conditions, the client may be subject to an administrative fine with maximum value of up to BRL 250,000.00 with the possibility of a 50% increase in some specific cases. The failure to submit the Information Return may also be deemed as a crime of capital evasion.
